1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, the “User”) and AgrSync Ltd (“AgrSync”, “we”, “us”, “our”), a company registered in England and Wales (company number 12345678), with its registered office at 12 Bootham Row, York, YO30 7BZ, United Kingdom.
By accessing or using the AgrSync website (agrsync.com), mobile applications, APIs, or any related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
If you are entering into these Terms on behalf of a business, farm partnership, or other legal entity, you represent that you have the authority to bind that entity. References to “you” include that entity.
2. Description of Services
AgrSync provides a cloud-based farm management platform designed for UK farmers and agricultural businesses. Our Services include but are not limited to:
- Field mapping and boundary management using satellite imagery and GPS data.
- Crop lifecycle tracking, including planting, spraying, and harvest records.
- SFI (Sustainable Farming Incentive) compliance monitoring and documentation.
- Financial management tools including invoicing, expense tracking, and profitability analysis.
- Livestock and herd management features.
- Weather monitoring and soil analysis integration.
- Marketplace for agricultural inputs and outputs.
- Labour and team management tools.
- Reporting and analytics dashboards.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide at least 60 days' notice before discontinuing any core feature of the platform.
3. Account Registration and Security
To use certain features of the Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Keep your password secure and confidential.
- Not share your account credentials with others.
- Notify us immediately at security@agrsync.co.uk if you suspect unauthorised access to your account.
You are responsible for all activities that occur under your account. AgrSync will not be liable for any loss arising from unauthorised use of your account where you have failed to maintain the security of your credentials.
4. Subscriptions and Payment
4.1 Subscription Plans
AgrSync offers various subscription plans as described on our Pricing page. Each plan includes different features, user limits, and storage allowances. Details of what is included in each plan are provided at the time of purchase.
4.2 Free Trial
We may offer a free trial period for new users. During the trial, you have access to the specified features at no cost. At the end of the trial, your account will be downgraded to the free tier unless you subscribe to a paid plan. We will remind you at least 3 days before your trial expires.
4.3 Payment Terms
- All prices are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated.
- Payments are processed securely through Stripe. We do not store full credit or debit card details on our servers.
- Subscriptions are billed in advance on a monthly or annual basis, depending on your selected billing cycle.
- Annual subscriptions receive a discount as displayed on our Pricing page.
4.4 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Monthly plans: Access continues until the end of the current billing period. No refund for the remaining period.
- Annual plans: If cancelled within 14 days of purchase, you are entitled to a full refund under UK Consumer Contracts Regulations 2013. After 14 days, access continues until the end of the annual period with no refund.
- You may export all your data before your subscription expires.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services in any way that violates applicable local, national, or international law or regulation.
- Transmit any material that is defamatory, offensive, or otherwise objectionable.
- Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems.
- Use automated tools (bots, scrapers, crawlers) to access the Services without our written permission.
- Introduce viruses, trojans, worms, or other malicious code.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse-engineer, decompile, or disassemble any part of the software.
- Use the Services to compete with AgrSync or to develop a competing product.
We reserve the right to suspend or terminate your account if we reasonably believe you have violated these acceptable use provisions, after providing notice where practicable.
6. Intellectual Property
6.1 Our IP
The Services, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, are owned by AgrSync Ltd or its licensors and are protected by UK and international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited licence to use the Services as described herein.
6.2 Your Data
You retain all ownership rights in the data and content you upload to the Services (“Your Data”). By uploading data, you grant AgrSync a limited, non-exclusive licence to use, process, and store Your Data solely for the purpose of providing and improving the Services. We will not use Your Data for any other purpose without your explicit consent.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free licence to use and incorporate that feedback into our products and services.
7. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection law, including UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf (for example, data about your employees or farm workers that you enter into the platform), we act as a data processor and you are the data controller. In such cases, we will process the data only in accordance with your instructions and the terms of our Data Processing Agreement, available upon request.
8. Limitation of Liability
8.1 Disclaimer
The Services are provided on an “as is” and “as available” basis. While we strive to maintain high availability and accuracy, we do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
8.2 Agricultural Advice
The Services are management tools and do not constitute agricultural, financial, legal, or tax advice. Information about SFI compliance, crop management, and market prices is provided for informational purposes only. You should always consult qualified professionals for specific advice relating to your farm and circumstances.
8.3 Liability Cap
To the fullest extent permitted by law, AgrSync's total liability to you under or in connection with these Terms shall not exceed the total fees you have paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
9. Indemnification
You agree to indemnify, defend, and hold harmless AgrSync, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your breach of these Terms, or your violation of any applicable law.
10. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access to the Services immediately if you materially breach these Terms. Upon termination:
- Your right to access the Services ceases immediately (or at the end of your billing period if you cancel voluntarily).
- We will retain your data for 90 days to allow you to export it, after which it will be permanently deleted unless we are required by law to retain it.
- Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall continue in full force.
11. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before commencing legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation for a period of at least 30 days.
12. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and AgrSync.
- Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control.
13. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
